1. Agreement to Terms

ecomflow.pk provides a comprehensive Cash-on-Delivery (COD) management platform designed to help e-commerce businesses optimize their COD operations, reduce return-to-origin rates, and improve cash flow through:

• Order confirmation and verification systems
• Customer communication automation
• Analytics and reporting tools
• Integration with courier and logistics partners
• Business intelligence and optimization features

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Operate a legitimate e-commerce business
• Provide accurate and complete information during registration
• Not be prohibited from using our services under applicable law

4. Application and Onboarding

Access to our services requires an application and approval process:

• We review all applications to maintain service quality
• We reserve the right to accept or reject any application at our sole discretion
• Onboarding is limited to ensure optimal execution quality
• Acceptance is not guaranteed and depends on various factors including business fit and capacity
• We may request additional information or documentation during the review process

5. User Accounts

5.1 Account Creation

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5.2 Account Security

You must:

• Use a strong, unique password
• Not share your account credentials with others
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities conducted through your account

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Non-payment of fees
• Inactivity for extended periods

6. Fees and Payment

6.1 Service Fees

Access to our services may require payment of fees as outlined in your service agreement or on our pricing page. All fees are exclusive of applicable taxes unless otherwise stated.

6.2 Payment Terms

• Fees are due according to the billing schedule in your agreement
• Payment must be made via approved payment methods
• Late payments may result in service suspension
• You are responsible for all charges incurred under your account

6.3 Fee Changes

We reserve the right to modify our fees with at least 30 days' notice. Continued use of services after fee changes constitutes acceptance of the new fees.

7. Data Collection and Use

By using our services, you consent to:

• Use of cookies and tracking technologies per our Cookie Policy
• Digital marketing campaigns and analytics for service improvement
• Communication regarding your account and our services

8. Acceptable Use Policy

You agree not to:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your business purposes in accordance with these Terms.

9.3 Your Content

You retain ownership of any content you submit to our platform. By submitting content, you grant us a worldwide, non-exclusive license to use, reproduce, and process that content for the purpose of providing our services.

10. Third-Party Services

Our services may integrate with or rely on third-party services (payment processors, courier partners, analytics providers, etc.). We are not responsible for the actions, content, or privacy practices of third parties.

11. Warranties and Disclaimers

11.1 Service Availability

While we strive to maintain service availability, we do not guarantee that our services will be uninterrupted, timely, secure, or error-free.

11.2 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.3 No Guarantee of Results

While our services are designed to improve COD operations, we do not guarantee specific results, revenue increases, or RTO rate reductions. Results depend on various factors beyond our control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOMFLOW.PK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

In jurisdictions that do not allow the exclusion of certain warranties or limitations of liability, our liability shall be limited to the maximum extent permitted by law.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless ecomflow.pk and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom and Pakistan, as applicable to our operations in each jurisdiction.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

14.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through prominent notice on our website at least 30 days before the changes take effect.

Your continued use of our services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of our services.

We reserve the right to:

• Impose limits on certain features or restrict access to parts of services
• Refuse service to anyone for any reason at any time
• Terminate or suspend services with notice when feasible

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ecomflow.pk regarding your use of our services and supersede all prior agreements.
